Terms of Service: 1:1 Project Lighting and Controls Consulting

These Terms of Service (“Terms”) govern your access to and use of the 1:1 Project Lighting and Controls Consulting services (“Services”) provided by The Light Menu (“Company,” “we,” “us,” or “our”). By purchasing a membership and engaging with our Services, you (“Client,” “you,” or “your”) agree to these Terms. If you do not agree to these Terms, you must not use our Services.

1. Eligibility

  • 1.1 Membership Requirement: Only paid members of The Light Menu are eligible to access the 1:1 Project Lighting and Controls Consulting services. You must maintain an active membership to receive ongoing consulting services.
  • 1.2 Age Requirement: You must be at least 18 years old or the age of majority in your jurisdiction, whichever is greater, to use the Services.

2. Scope of Services

  • 2.1 Description: The Services include personalized consulting on project lighting and controls, which may involve reviewing lighting schedules, offering product recommendations, providing design advice, and other related consulting activities as agreed upon.
  • 2.2 Customization: The Services are tailored to the specific needs of each Client, as determined during initial consultations and ongoing communications.
  • 2.3 Limitation: The Services are advisory in nature. Implementation of any recommendations provided by the Company is the sole responsibility of the Client.

3. Fees and Payment

  • 3.1 Membership Fees: Access to the Services is contingent upon payment of membership fees as outlined on our website. All fees are non-refundable unless otherwise stated.
  • 3.2 Consulting Fees: In addition to membership fees, consulting fees may apply based on the scope and duration of the project. These fees will be communicated and agreed upon prior to the commencement of Services.
  • 3.3 Payment Terms: Payment is due upon receipt of an invoice. We reserve the right to suspend Services if payment is not received on time.

4. Client Responsibilities

  • 4.1 Accurate Information: You agree to provide accurate and complete information necessary for the provision of Services. Any inaccuracies may affect the quality of the consulting Services provided.
  • 4.2 Cooperation: You agree to cooperate with our consultants, provide timely responses, and make available any resources or information necessary for the successful completion of the consulting project.
  • 4.3 Implementation: You acknowledge that the implementation of our recommendations is your responsibility, and we are not liable for any outcomes resulting from the implementation.

5. Uploaded Documents and Non-Disclosure Agreements (NDAs)

  • 5.1 Document Submission: As part of the consulting process, you may be required to upload or share documents, such as project plans, lighting schedules, and other relevant materials (“Uploaded Documents”). You agree that all Uploaded Documents must be accurate, complete, and free of any confidential or proprietary information unless you have informed us otherwise.
  • 5.2 NDA Requirement: If any of the Uploaded Documents contain confidential or proprietary information that requires the execution of a Non-Disclosure Agreement (NDA), it is your responsibility to inform us prior to the submission of such documents. We will not be held liable for any unauthorized disclosure of confidential information if you fail to inform us of the need for an NDA.
  • 5.3 Document Handling: We will take reasonable steps to protect the confidentiality of any Uploaded Documents, but we cannot guarantee absolute security. By uploading documents, you acknowledge and accept the inherent risks associated with digital transmission and storage.

6. Confidentiality

  • 6.1 Confidential Information: Both parties agree to treat all information disclosed during the provision of Services as confidential, except where disclosure is required by law or consented to by the disclosing party.
  • 6.2 Non-Disclosure: You agree not to disclose any proprietary or confidential information shared with you during the consulting process to any third party without our prior written consent.

7. Intellectual Property

  • 7.1 Ownership: All intellectual property created or provided by us during the course of the Services, including but not limited to reports, designs, and recommendations, remains the property of The Light Menu.
  • 7.2 Limited License: We grant you a limited, non-exclusive, non-transferable license to use the deliverables provided during the course of our Services solely for your internal business purposes.

8. Disclaimers

  • 8.1 No Guarantee: While we strive to provide valuable advice and recommendations, we do not guarantee specific results from our Services. All advice is provided on an “as is” basis, without warranties of any kind.
  • 8.2 Professional Judgment: You acknowledge that our Services are advisory, and any decisions or actions taken based on our recommendations are at your own risk.

9. Limitation of Liability

  • 9.1 Maximum Liability: To the fullest extent permitted by law, our total liability to you for any claims arising out of or relating to these Terms or the Services provided shall not exceed the amount you have paid to us for the Services in the 12 months preceding the event giving rise to the claim.

  • 10.2 Termination by Company: We reserve the right to terminate or suspend your access to the Services at our discretion, with or without notice, for any reason, including but not limited to breach of these Terms.
  • 10.3 Effect of Termination: Upon termination, all rights granted to you under these Terms will immediately cease, and you must cease all use of the Services.

11. Governing Law and Dispute Resolution

  • 11.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles.
  • 11.2 Dispute Resolution: Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Ontario, Canada, in accordance with the rules of ADR Institute of Canada. The prevailing party shall be entitled to recover its reasonable attorneys’ fees and costs.
